Summary:
The General Counsel oversees all Legal and Compliance activities for a mortgage subservicing operation that manages 400,000 Mortgage Loans and over $80 Billion in Unpaid Principal Balance. This includes all regulatory, compliance, litigation, and transactional matters. The role includes directing the activities of the legal department and outside counsel as well as providing research and counsel to the various business units and decision makers. The role requires extensive substantive knowledge and practical experience managing a team of attorneys, paralegals and support staff as well as performing a significant amount of work as an individual contributor. It also includes overseeing the Compliance Department as it performs the critical compliance functions and decisions required by the business.

Responsibilities:
  • Review, edit and draft contracts and other transactional documents.
  • Act as liaison, counsel, and general resource to the various business units.
  • Provide legal issues analysis, research, and opinion memoranda.
  • Analyze, review, and modify business policy and procedures to ensure compliance with investor requirements, applicable consumer protection laws, regulations and case law.
  • Oversee litigation matters and the coordination of outside counsel as appropriate.
  • Analyze, formulate and implement various strategies and policy/procedure modifications in order to mitigate legal risk and minimize associated costs.
Qualifications/Skills:
  • 10+ years relevant legal practice experience; in-house practice experience very important.
  • Demonstrated expertise in consumer law, bankruptcy, litigation defense, administrative law, and financial services management.
  • Prior experience in managing outside attorneys and paralegals.
  • Prior experience in managing or overseeing compliance, audit, or quality control activities.
  • Strong written and verbal communication skills, particularly with senior business management and entities outside the company.
  • Ability to work with and manage a diverse group of employees.
  • Current admittance to a state bar.
  • Excellent legal research and writing skills.
  • Expertise in legal negotiation.
Educational Requirements:
  • Juris Doctorate from accredited law school.
