Summary:

The Corporate Counsel assists in the managing of transactional, law firm and vendor matters. This includes managing the external audit team, reviewing servicing agreements, loan sale documents, and vendor contracts as well as providing research, opinions or advice and other legal assistance. This individual, under the direction of the General Counsel, will provide counsel to management within the company and act as a liaison with the company’s outside legal counsel.

 

Responsibilities:

  • Manage the transactional legal processes and contract reviews within the company

  • Maintain and manages the servicing requirement standards across the client and investor base and communicates portfolio level servicing standards and reporting requirements to the various business functions

  • Oversee the Vendor Oversight Team by managing the audit standards, framework and coordination of the vendor management audit schedule

  • Assist in legal issues analysis, research and opinion memoranda as assigned

  • Review and modify business policies and procedures to conform to applicable legal and client standards

  • Provide legal and compliance related support as a general resource for various business units

  • Analyze, formulate and recommend various strategies and policy/procedure modifications in order to mitigate legal risk and minimize associated costs

Qualifications/Skills:

  • 5+ years’ experience of relevant legal experience desired, in-house experience a plus

  • Active Member of a State Bar.

  • Knowledge of mortgage servicing, and a variety of financial services related law

  • Excellent interpersonal, written and communication skills

  • Excellent research and writing skills

  • Strong organizational skills and attention to detail is a must

  • Ability to multi-task, prioritize and establish goals

  • Ability to work in a team-oriented, fast-past environment

  • Proficiency with general Microsoft Office applications

Educational Requirements:

  • Juris Doctorate from accredited law school.
